You will report directly to the CEO and founding team, with real authority over legal decisions. Your focus: protecting the company's IP, structuring and managing the tax and corporate implications of running a U.S. entity with a team in Peru, and safeguarding every commercial contract along the way.

This role is for you if you combine:

- 6+ years of corporate law experience, ideally at tech startups or venture-backed companies
- Solid knowledge of U.S. corporate taxation (federal and state) and how it intersects with international operations
- Experience advising on patents and other IP assets, coordinating with specialized patent agents and attorneys
- Experience drafting and negotiating enterprise contracts (MSA, DPA, SaaS agreements)
- Fluent written and spoken English, as you will work directly with U.S. leadership

Please note: this position requires cross-border exposure. If your experience is exclusively in local corporate law, this role is likely not the right fit.

What you will do

- Lead the corporate structure (Delaware C-Corp and Peru operation), board minutes, resolutions, and corporate governance
- Coordinate with U.S. tax advisors on the tax structuring of the parent company and subsidiaries, and flag tax risks of running a Peru-based team for a U.S. entity before they become liabilities
- Protect the company's IP assets, including patents and trademarks in the U.S., working with external patent agents and attorneys
- Draft, review, and negotiate contracts with clients and vendors; standardize templates (MSA, DPA, NDA, SOW) and manage the full contract lifecycle




- Advise on investment rounds (SAFEs, term sheets) and cap table management
- Ensure corporate, labor, and data compliance in Peru and the U.S.; lead compliance initiatives such as SOC2; manage D&O; and E&O; insurance policies
- Translate complex legal issues into clear, actionable recommendations for founders, engineering, and sales

Nice to have

- Knowledge of the Peruvian tax regime and how it interacts with foreign structures
- Experience at or advising early-stage tech startups
- Prior experience in fundraising or M&A;
