Senior Legal Counsel / Asesor(a) Legal Senior – AcClima Amazonia Project Position Description Senior Legal Counsel AcClima Amazonia Project About Us Imperative is a integral carbon project development company that aims to be in the top decile for quality in the carbon projects market. We operate a build‑own‑operate model, specialising in the design, development and operation of carbon credit projects that combat climate change while promoting biodiversity conservation, economic growth and social development in the countries in which we operate.

The Project The

AcClima Amazonia Project is an ultra‑high‑quality carbon credit project operating in the Madre de Dios region of the Peruvian Amazon. The project promotes large‑scale reforestation and ecosystem restoration through a silvopastoral and native rainforest reforestation model, working with local landowners to transition cattle‑ranching land to regenerative land use, generating Verra‑verified carbon credits with significant co‑benefits for biodiversity and local communities.

Imperative

Peru S.A. is the Peruvian operating entity established to deliver this project on the ground. The legal and compliance infrastructure underpinning this project — from landowner enrolment and surface rights agreements to regulatory permits and labour compliance — is mission‑critical to achieving financial close and operational scale.

Role Overview Reports To: Project Manager, Peru, with a functional reporting line to Group Senior Legal Counsel (Singapore) Location: Peru — ideally Puerto Maldonado or Lima, with travel to field sites as required Employment Type: Full‑time, fixed‑term employment contract Language Requirements: Spanish (fluent, essential) | English (professional level, highly desirable) Position Purpose Reporting directly to the Project Manager, Peru, and liaising with the Group Senior Legal Counsel on a regular basis, the Senior Legal Counsel will be Imperative’s key legal and compliance representative in Peru, responsible for contractual and local legal matters related to the AcClima Amazonia Project. This is a multi‑disciplinary role combining legal advisory, contract management, regulatory compliance, and stakeholder engagement across all aspects of the project’s on‑the‑ground operations.

The Senior Legal

Counsel will be responsible for the delivery of Imperative’s contractual arrangements in Peru, ensuring quality and consistency of service and compliance with governing policy, and will work closely with the Business Administration Manager, Permits and Contracts Specialist and other project team members to support the project’s legal and regulatory workstreams.

Key Responsibilities - On‑the‑Ground Legal Lead: Key contact in Peru for day‑to‑day legal matters and coordination with the Project Manager, Peru and Group Senior Legal Counsel.

- Consistency and Risk Management: Ensure legal consistency, documentary traceability, and sound risk management across contracts, due diligence processes, permits, regulatory filings, and compliance obligations.
- Cross‑Team Coordination: Coordinate closely with the Project Manager, Peru, Business Administration team, Landowner Enrolment Lead, and other internal workstreams to provide integrated legal support across the project lifecycle.
- Permits Oversight: Work closely with the Permits and Contracts Specialist, providing legal oversight and risk sign‑off on regulatory submissions and permit‑related documentation.
- Legal Due Diligence – Landowner Enrolment:



Lead legal due diligence processes for all properties and landowners, including review and validation of ownership evidence, chain of title, encumbrances, powers of attorney, boundary descriptions, overlapping rights, and legal capacity.
- Eligibility Assessments: Issue structured legal eligibility assessments and risk recommendations — including Go / Conditional / No‑Go outcomes — supported by verifiable sources such as SUNARP, RENIEC, the Judiciary, the Public Prosecutor’s Office, SBS, municipalities, and other relevant public authorities.
- DD Registry: Maintain a legally robust due diligence registry and ensure all findings are documented with appropriate supporting evidence in SharePoint or designated project systems.
- Field Alignment: Coordinate with the Landowner Enrolment Lead to align legal eligibility findings with field engagement timelines and project enrolment targets.
- Surface Rights Agreements: Lead the legal review, structuring, negotiation, and finalisation of Surface Rights Agreements (SRAs) and all other contracts required for project implementation, including service agreements, supply agreements and land access instruments.
- Counterparty Coordination: Coordinate with landowners, counterparties, notaries, external counsel, and internal teams to ensure contracts are legally sound, enforceable under Peruvian law, and aligned with project requirements and Imperative’s global standards.
- Execution Packages: Manage contract execution packages, including annexes, powers of attorney, identity verification, and documentary consistency checks to ensure readiness for notarisation and signature.
- Negotiation Advisory: Advise on contractual observations and legal comments raised in negotiation, proposing practical solutions that protect Imperative’s position while preserving counterparty relationships.
- Contract Tracker: Maintain a complete and up‑to‑date contract tracker and repository, tracking execution status, key dates, obligations, and renewal or amendment requirements.
- Corporate Compliance: Provide legal support to Imperative Peru to ensure local entity compliance on corporate matters, including preparation of board resolutions, corporate book maintenance and SUNARP filings.
- Labour Law: Support the Gerente General on Peruvian labour law compliance, including employment contracts, SUNAFIL obligations, occupational health and safety legal requirements, and other employment‑related legal matters arising in the operation.
- Service Agreements: Review and advise on service agreements, contractor arrangements, locación de servicios agreements, operational letters, notices, internal legal documents, and other instruments required by the Peru office.
- Risk Management: Identify, escalates and contributes to the management of legal risks that may affect office operations or project implementation.
- Records and Repositories: Maintain orderly legal records, trackers, and document repositories in SharePoint or other designated systems, ensuring traceability and accessibility for audit and governance purposes.
- Status Updates: Prepare regular legal status updates for the Gerente General,



Project Manager and Group Senior Legal Counsel covering due diligence progress, contract execution status, permit status, material legal risks, and escalation items requiring decision.
- Continuous Improvement: Propose and implement practical improvements to legal processes, templates, risk controls, and internal coordination flows to increase the efficiency and resilience of the Peru legal function.

Qualifications - Degree: A degree in law, legal studies, or equivalent professional qualification.

- Admission to Practice: Admission to practice law in Peru (Colegiatura habilitada) and active practising status highly desirable.
- Specialisation: Specialisation in one or more of civil law, contract law, property law, registry law (derecho registral), administrative law, environmental law, or labour law is desirable.

Experience – Essential - Post‑Qualification Experience: Five to eight years of post‑qualification experience in legal advisory, contract negotiation and management, or regulatory practice in Peru.

- Contract Track Record: Proven track record of negotiating, drafting, and managing contracts with multiple internal and external parties.
- Registry Law: Solid working knowledge of Peruvian registry law — SUNARP procedures, cadena de titularidad, gravámenes, and land‑related due diligence.
- Business Legal Support: Experience providing legal support to business operations, including labour law compliance and corporate/entity matters.

Experience – Highly Desirable - Land Access Experience: Experience in land access, surface rights, or natural resource agreements — ideally in agro‑industry, mining services, forestry or infrastructure.

- Permit Experience: Experience with permit or authorisation processes involving Peruvian public institutions such as SERNANP, ANA, SERFOR, MINAGRI, ALA, or regional governments.

Key Skills and Attributes - Contract Law: Strong knowledge and understanding of contract law, principles, and practices.

- Land Law: Familiarity with Peruvian land law and registry procedures.
- Due Diligence Rigour: Systematic approach to property and counterparty due diligence.
- Regulatory Navigation: Proven ability to navigate Peruvian administrative and regulatory processes.
- Communication: Excellent written and verbal communication skills in Spanish; professional‑level English.
- Organisation and Autonomy: Strong organisational skills and ability to manage multiple parallel workstreams independently.
- Integrity: High degree of personal integrity and ethical judgement.
- Team Player: Ability to coordinate across multidisciplinary teams and build productive relationships.
- Technology Proficiency: Proficiency in Microsoft Office Suite, SharePoint, and document tracking and management systems.
